智通财经APP讯，美瑞健康国际(02327)发布公告，于2026年1月8日，公司(作为买方)拟向宇业集团及谈文生女士(作为卖方)收购江苏懿德的全部股权，总代价为人民币1.25亿元。同日，周旭洲先生(作为担保人)签署了一份担保契据，向公司提供个人担保，以保证卖方履行股权转让协议项下的义务。收购事项完成后，公司将持有江苏懿德的全部股权。因此，江苏懿德将成为公司的全资附属公司，其财务业绩将并入集团的综合财务报表。

江苏懿德为于中国成立的有限责任公司，主要于中国从事股权投资及物业租赁业务。集团主要从事住宅及商业房地产业务。鉴于懿德物业所在地段优越，董事会拟透过江苏懿德持有懿德物业作投资用途，并从中获取租金收入。董事会认为，以相对具竞争力的价格收购懿德物业以获得潜在资本增值及未来租金收入来源，对集团而言实属有利之举。于本公告日期，大部分懿德物业已出租予独立第三方。懿德物业租约的每年总租金收入约为人民币780万元，相应的租金回报率约为5.97%。考虑到懿德物业的地段优势，集团认为收购事项(即透过收购江苏懿德全部股权取得懿德物业)有望优化集团的收益基础与资产结构。集团亦认为，收购事项将带来更佳现金流前景、潜在资本增值空间及未来更高回报。
