格隆汇1月6日丨璋利国际(01693.HK)公告，于2026年1月6日，公司(作为发行人)与受托人(作为认购人)订立应付款项资本化协议，据此，公司已有条件同意配发及发行，而受托人(为及代表贸易债权人行事)已有条件同意按每股应付款项资本化股份2.350港元认购合共7,489,496股应付款项资本化股份，以结算相关债务人结欠贸易债权人的未偿还贸易应付款项。认购人根据应付款项资本化协议应付的认购金额17,600,315.60港元，将透过悉数抵销集团应付贸易债权人的未偿还贸易应付款项的方式偿付。 假设自本公告日期起至完成日期止，公司已发行股本概无变动，应付款项资本化股份相当于(i)本公司于本公告日期已发行股本约18.92%；及(ii)公司经配发及发行应付款项资本化股份扩大已发行股本约15.91%。
