智通财经APP讯，佳明集团控股(01271)公布，于本公布日期，公司尚未与潜在买方就潜在出售事项订立任何具法律约束力的正式协议，且独家期已于2025年12月21日届满。于2026年1月6日(香港时间)，悦基发展有限公司及金达富有限公司(统称“潜在卖方”)，均为 Wellford Properties Holdings Limited的直接全资附属公司，亦为公司的间接全资附属公司，收到由一名新潜在买方就潜在买方可能收购位于香港新界的两项物业而签署日期为2026年1月5日的独家权利协议及意向书，目前正就此进行磋商。该等物业目前分别由悦基发展及金达富拥有，总建筑面积约为 18.5万平方尺。
经考虑集团的现时财务状况及策略目标，董事会认为，倘潜在交易落实，所得款项净额将使集团能够减少其整体负债，从而改善集团的财务状况。董事认为，独家权利协议及意向书的条款属公平合理，且认为潜在交易符合公司及其股东的整体利益。
根据公开资料，潜在买家为一家跨国公司的子公司。
