智通财经APP讯，上海青浦消防(08115)发布公告，就有关公司拟收购清大东方消防科技集团全部股权的相关事宜。买卖协议所载的所有先决条件均已达成，且卖方与买方已于2026年1月5日以书面形式同意完成交易。于完成后，本集团将拥有目标集团全部股权，而目标集团将成为本公司的全资附属公司，因此，目标集团的财务业绩将并入本公司的账目内。
根据买卖协议，于完成日期后，本公司将以下列方式支付：人民币2800万元透过向卖方代名人联城消防(香港)股份有限公司(联城(香港))配发及发行2800万股代价股份支付;人民币8500万元透过向卖方代名人联城(香港)发行可换股债券支付;及剩余人民币8700万元以现金支付。于2026年1月5日，本公司已向卖方代名人联城(香港)配发及发行2800万股代价股份及可换股债券。
