1月9日，谭木匠（00837）发布公告，近日江苏省高级人民法院对本集团与苏州建兴置业有限公司（发展商）的诉讼做出最终裁决，驳回了本集团的再审申请。
此次诉讼源于2013年，公司与发展商签订商品房买卖合同，全额支付3356万元购得句容市物业（用作公司管理中心），但发展商未解除物业抵押、未结清税费，未办理产权过户。2020年发展商进入破产清算，管理人起诉要求终止合同、收回物业，经一审、二审法院判决发展商胜诉后，公司提起再审申请被驳回。
若本集团需遵循最终裁决返还句容市物业，将对营运造成影响。作为管理中心，搬迁需承担相关成本，且可能导致行政职能暂时干扰、短期经营阻力及个别业务损失。财务上，句容市物业在本集团财务报表中的账面值约为2280万元，执行裁决将导致该资产撇销。合同终止后，本集团将成为苏州建兴置业破产财产中的无担保债权人，追讨3356万元购价款的实际追偿前景较为渺茫。
公司不认可该裁决，认为自身已完全履行合同义务，发展商作为违约方无权单方解除合同，拟通过向检察院抗诉或向最高人民法院申诉等合法途径维权，但无法保证相关行动被受理或成功。
