香港联交所：对皇庭智家(01575)两名前任董事采取纪律行动

智通财经APP获悉，1月15日，香港联交所发文表示，对皇庭智家控股有限公司(前称慕容家居控股有限公司)(01575)两名前任董事采取纪律行动。香港联交所向皇庭智家的前主席、执行董事兼行政总裁邹格兵先生;及前执行董事沈志东先生作出董事不适合性声明及谴责。香港联交所裁定邹格兵先生及沈志东先生未有配合香港联交所的调查，因此违反《上市规则》。

董事不适合性声明是指香港联交所认为，邹先生及沈先生均不适合担任该公司或其任何附属公司的董事或高级管理阶层职务。

香港联交所表示，邹先生及沈先生牵涉于香港联交所就该公司进行两项不同的调查当中。

在2025年1月，香港联交所分别对邹先生和沈先生作出损害投资者权益声明及公开谴责，原因是他们违反了《上市规则》下的董事职责和责任，涉及在2021年10月由该公司附属公司为邹先生私人持有的公司所结欠第三方的欠款提供担保。邹先生和沈先生有配合香港联交所此项调查。

在有关担保的调查结束后，香港联交所得悉该公司董事可能违反《上市规则》其他规定的指控，并就此展开另一项调查。

作为第二项调查的一部分，香港联交所分别向邹先生及沈先生发出调查函及提醒函。邹先生仅回复了香港联交所的部分而非全部询问，并未按要求提供其最新的联络资料。沈先生未有就香港联交所的询问提供任何实质回应。
