智通财经APP讯，易通讯集团(08031)及要约人UMBO GROWTH TRADING LIMITED联合公布，于2026年1月12日(交易时段后)，卖方及要约人订立买卖协议，卖方有条件同意出售及要约人有条件同意购买待售股份，即2.1亿股股份，相当于本公司于本联合公布日期已发行股本总额的约71.04%，代价为5796万港元(即每股待售股份0.276港元)。其后，于2026年1月14日，本公司获要约人进一步通知，买卖协议的所有先决条件均已达成，而待售股份的买卖于2026年1月14日完成。

于紧接完成前，要约人、萧先生及彼等任何一方一致行动人士并无拥有或控制任何股份。于紧随完成后及于本联合公布日期，要约人、萧先生及彼等任何一方一致行动人士共于2.1亿股股份中拥有权益，占本公司已发行股本总额约71.04%。根据收购守则规则26.1，于完成后，要约人须就所有已发行股份(要约人、萧先生及彼等任何一方一致行动人士已拥有或同意收购的股份除外)提出要约。每股要约股份现金0.276港元较股份于最后交易日在联交所所报的收市价每股0.325港元折让约15.08%。

本公司已向联交所申请股份由2026年1月20日上午九时正起于联交所恢复买卖。
