智通财经APP讯，中国数字视频(08280)发布公告，于2026年1月19日，合营企业(本公司的被投资公司)与(其中包括)新奥特北京(本公司的全资附属公司)及其他合资方订立资本削减协议。根据资本削减协议，合营企业将实行削减其注册资本，目标为由人民币3178.05万元减至人民币1500万元，并将向削减方支付下文列明的现金代价总额，以换取注销其各自的股权，其后各削减方将在收到相关代价后不再持有合营企业的任何股权。
于本公告日期，合营企业分别由新奥特北京及其他合资方持有约31.47%及 68.53%。于完成资本削减后，本集团将不再拥有合营企业的任何股权。
资本削减将为本集团带来财务及战略上的利益。除透过收取现金所得款项人民币 3000万元以取得令人满意的财务回报及提高流动性外，该交易透过将资本由非核心合营企业重新分配至具有更高战略优先次序及预期回报的核心业务范畴，推动本集团的组合优化及资本回收策略;降低非核心合营企业风险承担及收益波幅，继而改善本集团的整体风险状况及抵抗能力;及腾出先前投放于监管合营企业的管理时间及营运精力，让本集团能够更专注于主要营运及增长计划。
