智通财经APP讯，新城发展(01030)发布公告，于2026年1月20日，SRCIM(公司的全资子公司)与买方晋峰资本控股有限公司订立股份转让协议A及股份转让协议B，据此，SRCIM有条件同意出售而买方有条件同意购买目标公司A(新城晋峰资产管理有限公司)的全部已发行股本及目标公司B(新城晋峰证券有限公司)的全部已发行股本，代价分别为2523万港元及6282万港元。
根据股份转让协议A，SRCIM有条件同意出售，而买方有条件同意购买目标公司A的全部股本。根据股份转让协议B，SRCIM有条件同意出售，而买方有条件同意购买目标公司B的全部股本。
董事认为，出售事项可使本集团达致资源优化及精简本集团的架构，尤其是考虑到目标公司并无重大业务营运，且于截至2024年12月31日止年度整体取得亏损，并于截至2025年12月31日止年度仅取得极低利润。出售事项将使集团可将其财务资源调拨至其作为物业发展商的主要业务营运或其他未来业务发展。
