智通财经APP讯，爱博医疗(688050.SH)发布公告，公司(“投资方”)于2026年1月20日与德美联合(重庆)医疗科技有限公司(以下简称“德美医疗”或“标的公司”)及德美医疗创始人、第一大股东、董事长、总经理兼法定代表人黎建波(以下简称“创始人”)签署《投资意向书》，公司拟通过并购贷款及自有资金出资方式收购标的公司不低于51%的股权并取得标的公司的控制权。
标的公司作为国内运动医学的头部企业，是国家高新技术企业和“专精特新”小巨人企业，拥有276项专利技术，建成了现代化生产基地与研发中心，具备技术研发实力与市场竞争力。标的公司已入选第四批国家高值医用耗材集采A组，处于行业第一梯队;拥有临床专家资源，销售网络覆盖全国及东南亚、拉丁美洲、中东、欧洲等海外区域，在研发、生产制造、境内外销售渠道等方面与公司存在一定的协同性。
公告称，公司核心业务聚焦于生物医用材料及高端医疗器械的研发及商业化。通过本次收购标的公司控股权，公司拓宽医疗健康领域布局，在研发、生产制造、销售渠道等方面与标的公司协同，进一步提升公司业绩与股东回报水平。
