智通财经APP讯，正干金融控股(01152)发布公告，于2026年1月15日，本公司接获肖永贞女士(肖女士)发出的转换通知，行使其权利将本金总额为650万港元的可换股债券，按每股换股股份 0.073港元的换股价转换为8904.11万股换股股份(转换)。
肖女士所持本金额650万港元的可换股债券(肖女士可换股债券)乃于2026年1月12日转自田女士。据董事作出一切合理查询后所深知、全悉及确信，于肖女士可换股债券转让日期及本公布日期，肖女士为独立于本公司、其关连人士及债权人且与彼等概无关连的第三方。
因应上述可换股债券所附带的换股权获行使，本公司将根据特别授权配发及发行 8904.11万股换股股份予认购人。
换股股份将与所有在配发日期的现有已发行股份及彼此之间在所有方面享有同等地位。紧随配发及发行换股股份后，本公司已发行股份数目将增加8904.11万股股份至21.65亿股股份。该8904.11万股换股股份分别占紧接转换前本公司现有已发行股本约4.29%;及经配发及发行8904.11万股换股股份扩大后的本公司已发行股本约4.11%。
