智通财经APP讯，JBB BUILDERS(01903)发布公告，本公司(作为买方)正与厦门见福连锁管理有限公司(卖方)就有关买卖成都市见福便利店管理有限公司(目标公司)100%股权权益进行磋商。
卖方为一间根据中国法律注册成立的有限公司，其主要业务为于中国管理及营运便利店。经董事作出合理查询后所深知及确信，于兴军女士与张利先生(为夫妻关系)连同其子张博宇先生，以下列方式合共持有卖方55.36%股权权益：(i)彼等各自直接持有31.04%、13.02%及0.96%权益;及(ii)张利先生透过其控制的两间公司，即厦门见福投资合伙企业(有限合伙)及厦门大福大集电子商务有限公司，分别间接持有6.18%及4.16%权益。目标公司为一间根据中国法律注册成立的有限公司，主要于中国四川从事零售业务及营运便利店业务。
目标公司已透过直营店运营、特许经营及供应链批发业务，构建“品牌+运营+供应链”的业务体系。目标公司旗下有65间直营店及30间特许经营店，其分店涵盖广泛的商品类别，包括日用百货、新鲜果蔬、预包装食品、保健食品及医疗器械等，全方位满足消费者日常需求。
