智通财经APP讯，高山企业(00616)发布公告，配售协议所载的所有条件均已获达成，而完成配售事项已于2026年1月26日根据配售协议的条款及条件作实。根据配售协议，本公司已根据一般授权按每股配售股份0.32港元的配售价向六名承配人(彼等均独立于本公司、永义及彼等各自的关连人士的第叁方)配发及发行1.16亿股配售股份，相当于本公布日期本公司已发行股本(经配发及发行配售股份扩大)约6.21%。
紧随完成后，各承配人并非为本公司的主要股东或上市规则第14A章项下之本公司的关连人士。承配人不得在2026年5月31日或之前出售任何配售股份。
配售事项的所得款项总额为3708.16万港元及配售事项的所得款项净额(扣除配售佣金及其他配售事项的相关成本及开支后)约为3671.08万港元。本公司拟将配售事项的所得款项净额用于根据本集团现有银行贷款的再融资修订条款以偿还银行贷款。
