智通财经APP讯，绿叶制药(02186)发布公告，2026年1月26日，深圳绿叶、南京信石、南京信安、宁波信达及南京绿叶订立注资协议，据此，南京信安及宁波信达同意向南京绿叶提供进一步资本，总额为人民币2.85亿元。紧随注资完成后，南京绿叶将由深圳绿叶、南京信石、南京信安及宁波信达分别持有70.01%、23.34%、4.32%及2.33%。
就南京信安及宁波信达向南京绿叶注资而言，集团已订立一系列进一步交易：根据南京绿叶权益期权协议，烟台绿叶有权要求各信达认购方将其各自于南京绿叶持有的权益出售予烟台绿叶。根据南京绿叶权益期权协议，各信达认购方有权要求烟台绿叶于发生若干事件时回购其各自于南京绿叶持有的权益。
于本公告日期，南京绿叶由深圳绿叶及南京信石分别持有75%及25%。南京绿叶及其附属公司主要从事药品生产及销售，专注于肿瘤治疗领域。烟台绿叶及深圳绿叶各自为公司的全资附属公司。烟台绿叶及深圳绿叶各自主要从事投资控股业务。
