智通财经APP讯，德莱建业(01546)及要约人WORLD NEXUS HOLDINGS LIMITED联合公布，本公司获卖方及要约人告知，于2026年1月23日，卖方、林先生及要约人订立买卖协议，卖方有条件同意出售及要约人有条件同意购买合共5.008亿股销售股份，占本联合公告日期本公司已发行股份总数的 62.6%。销售股份的总代价为9515.2万港元，相当于每股销售股份0.19港元。
完成后，要约人及要约人一致行动人士将合共于5.008亿股股份中拥有权益，占于本联合公告日期本公司已发行股份总数的62.6%。根据收购守则规则26.1，待完成落实后，要约人须就其全部已发行股份(要约人及要约人一致行动人士已拥有及/或已同意收购者除外)作出强制性无条件现金要约。每股要约股份现金0.19港元较2026年1月22日收市价每股股份0.385港元折让约50.65%。
本公司已向联交所申请于2026年1月29日(星期四)上午九时正起于联交所恢复股份买卖。
