智通财经APP讯，建发物业(02156)发布公告，于2026年1月27日，本公司间接全资附属公司利驰(香港)有限公司(利驰香港)与厦门益悦置业有限公司(益悦)订立股权转让协议，据此(其中包括)益悦同意出售及利驰香港同意购买厦门兆慧网络科技有限公司(厦门兆慧)的25%股权。股权转让协议项下的代价为人民币1489.18万元。
于本公告日期，厦门兆慧为本公司非全资附属公司，分别由厦门益睿投资管理有限公司(厦门益睿，利驰香港的间接全资附属公司)及益悦持有75%及25%的股权。收购事项完成后，本公司将间接持有厦门兆慧的全部股权。厦门兆慧将成为本公司的全资附属公司。
厦门兆慧为一家专注于智能社区服务的技术服务公司，提供有关智能化设计、智能化工程、智能社区及智能家居服务。近年，集团持续扩大其智能社区服务业务的范围及规模。
考虑到厦门兆慧的主营业务为集团社区增值及协同服务的重要组成部分，收购事项将使其成为集团间接全资附属公司，有利于集团提高有关经营决策效率、降低管理成本及优化厦门兆慧的资源配置，有利于厦门兆慧和集团业务的长期发展。厦门兆慧的业务和经营管理将保持连贯和稳定。
