智通财经APP讯，五一视界(06651)发布公告，于2026年1月29日，北京五一视界数字孪生科技股份有限公司董事会收到张雨薇女士及吕金荣先生的辞职信。由于彼等工作安排调整，张女士辞任本公司执行董事及本公司薪酬与考核委员会委员职务，吕先生辞任本公司非执行董事及本公司审计委员会委员职务。有关辞任均自委任新的执行董事及非执行董事以填补因有关辞任经本公司股东于本公司将召开的临时股东会而产生的临时空缺之日起生效。
鉴于有关辞任，董事会建议提名杜金艳女士担任执行董事，提名杨谷先生担任非执行董事。建议委任须经股东于临时股东会以普通决议案方式批准。董事会于2026年1月29日举行的董事会会议上审议及批准委任杜女士担任本公司提名委员会委员、薪酬与考核委员会委员，及委任杨先生担任审计委员会委员，惟须经股东于临时股东会分别批准委任杜女士及杨先生为执行董事及非执行董事。
