智通财经APP讯，意力国际(00585)发布公告，于2026年1月30日(交易时段后)，IFGL(本公司的一间直接非全资附属公司)与认购人信铭生命科技集团有限公司(00474)订立认购协议，IFGL已有条件同意配发及发行而认购人已有条件同意认购认购股份，总认购价为1.77亿港元，将由认购人于完成时按发行价每股代价股份0.12港元向IFGL(或其代名人)配发及发行入账列作缴足的14.76亿股代价股份的方式偿付。
待完成后，本公司于IFGL的权益将从98.69%摊薄至约79.21%。IFGL将仍为本公司的附属公司，且IFGL的财务业绩将继续于本集团的财务报表中综合入账。认购人将于IFGL 的约19.74%股份中拥有权益。
于本公告日期，本集团并无持有认购人任何权益。代价股份占认购人于本公告日期现有已发行股本的约20%。于完成时配发及发行代价股份后，本集团将于认购人经配发及发行代价股份扩大的已发行股本中拥有约16.67%权益(假设自本公告日期起直至完成日期认购人的已发行股本并无变动)。因此，本集团将于完成后成为认购人的一名主要股东。
