智通财经APP讯，特步国际(01368)发布公告，根据2025年可换股债券条款及细则第8E条(购买)的规定，本公司或其任何附属公司可于适用法律及法规的规限下，随时及不时于公开市场或其他方式以任何价格购买2025年可换股债券。本公司建议根据上述条款及条件购回2025年可换股债券。
于2026年1月30日，交易经办人与本公司订立交易经办人协议，交易经办人获委任处理建议同步购回事宜，其中包括协助本公司向可能愿意向本公司出售其持有的2025年可换股债券的2025年可换股债券持有人收集意向书。
本公司计划向机构投资者发行可换股债券(债券)。本公司已委任经办人统筹建议发行债券的定价事宜。待债券条款(包括发行规模、发行价格及其他条款)最终敲定后，经办人将就建议发行债券与本公司签订认购协议。
董事会认为，透过进行同步购回事宜及发行债券，本公司将能延长债务到期结构。此外，建议发行债券带来以下额外裨益：以较低融资成本为本公司提供额外资金，用以拨付同步购回事宜，余额则用于一般企业用途;不会对现有股东的持股比例产生即时摊薄影响;及强化本公司资本基础，并在债券转换为新股份时促进本公司长期发展。
