智通财经APP讯，粤港湾控股(01396)发布公告，于2026年2月3日，公司与认购人订立认购协议，据此，公司已有条件同意配发及发行，而认购人已有条件同意认购合共2031.1万股认购股份，占公司于本公告日期全部已发行股本约1.78%;及公司经配发及发行认购股份扩大后的全部已发行股本约1.74%(假设公司已发行股本于本公告日期至认购事项完成期间不会有其他变动)。每股认购股份的认购价6.00港元较于认购协议日期联交所所报收市价每股股份6.55港元折让约8.40%。
认购事项所得款项总额将约为1.219亿港元，而所得款项净额将约为1.216亿港元(经扣除认购事项的开支)，相当于净发行价约每股认购股份5.99港元。董事会拟将认购事项所得款项净额用于集团的一般营运资金，具体而言，约90%拟用于潜在AI算力云服务项目;及约10%拟用于日常运营费用。
