智通财经APP讯，城市酷选(08050)发布公告，本公司近期接获要约人通知，于2026年2月3日，要约人已向四名独立第三方个人投资者(投资者)转让合共2400万股股份(占本公司于本公告日期已发行股本总额约8.85%)，每名投资者均从要约人获得600万股股份(股份转让)。股份转让已于2026年2月3日完成。据董事会所深知、尽悉及确信，于股份转让完成后，概无投资者持有本公司已发行股本总额5%或以上，彼等亦无成为本公司的主要股东。
由于股份转让，要约人拥有权益的股份数目已由2.24亿股(占本公司于本公告日期已发行股本总额约82.75%)减少至2.005亿股(占本公司于本公告日期已发行股本总额约73.90%)。鉴于上述，且基于执行董事王先生于本公告日期于7.64万股股份(占本公司于本公告日期已发行股本总额约0.03%)拥有权益，于本公告日期，7071.82万股股份(占本公司于本公告日期已发行股本总额约26.07%)由公众人士(定义见GEM上市规则)持有。因此，本公司已恢复GEM上市规则第17.37B条规定的已发行股份总数的25%的最低公众持股量。
