ChainCatcher 消息，据官方公告，Strategy 今日宣布，就美国联邦所得税而言，公司在 2025 年度内向其优先股权工具支付的 100% 分配款，在不超过股东对应优先股权工具税基的范围内，均被认定为免税资本返还。2025 年，Strategy 共完成五次永续优先股证券（“数字信贷”）的首次公开发行（IPO），合计募集 55 亿美元的总资金。此后，公司又通过 ATM（按市价发行）计划，为数字信贷工具额外募集了 19 亿美元 的总资金。迄今为止，Strategy 已在这些工具上累计支付 4.13 亿美元的分配款，对应的加权年化股息率约为 9.6%。Strategy 表示，就美国联邦所得税而言，公司目前不存在累计留存收益，且预计在本年度及可预见的未来也不会产生当期 E&P。基于上述判断，Strategy 预计，其优先股权工具的分配款在 可预见的未来（即 10 年或更长时间）内，仍将被视为资本返还。
