　　方舟健客（06086）发布公告，配售事项完成已于2026年1月29日落实及认购事项完成已于2026年2月2日落实。根据配售及认购协议条款及条件合共4518.1万股配售股份已由配售代理按每股股份3.32港元的配售价成功配售予不少于6名承配人。

　　此外，因认购事项的所有条件均已获达成，公司已于2026年2月2日按每股认购股份3.32港元配发及发行4518.1万股认购股份（相等于根据配售事项成功配售的配售股份数目）予卖方。认购股份相当于经配发及发行认购股份扩大后的公司已发行股本约3.26%。

　　自认购事项收取的所得款项净额约为1.443亿港元。公司拟将所得款项净额用作以下用途：约90%将用于加速公司AI驱动的慢病管理平台的发展，包括模型发展及优化、基础设施及计算资源扩展、AI及医疗专家领域的人才招来、数据采集标注及知识库开发，以及推出及推广AI增强服务以覆盖服务不足的患者及医生群体；约10%将用于营运资金及其他一般企业用途。
