智通财经APP讯，EPS创健科技(03860)公布，于2026年2月3日，公司(作为买方)与鸿事达医疗有限公司(作为卖方)就建议收购中国基因工程有限公司(中国基因)16.23%股权订立谅解备忘录。中国基因为一间于香港注册成立的公司，实益拥有上海华新生物高技术有限公司(华新)约67.68%股权。华新为一间于中华人民共和国注册成立的公司，连同中国基因及其附属公司统称“中国基因集团”。代价金额为约4000万港元至4500万港元不等。
中国基因集团主要于中国从事生物制药产品的内部研发、制造及销售业务，与集团现有的医疗保健产品贸易、医疗器械租赁及提供专业受托研究机构(CRO)服务主营业务相辅相成。建议收购事项完成后，集团于中国基因的投资将于集团的综合财务报表内确认为于联营公司的投资。
董事会认为，建议收购事项为一次绝佳机遇，令集团扩大对中国基因集团营运的参与度;亦为一项策略投资，为集团创造潜在的长期价值，并促使集团在前景广阔的医疗保健行业内发展业务。
