智通财经APP讯，旷逸国际(01683)发布公告，于2026年2月3日，公司与深圳市逸鑫投资有限公司(卖方)订立谅解备忘录，订约方同意就公司可能有条件收购，而卖方可能有条件出售广东车巴达控股集团有限公司(目标公司)的51%权益进行磋商。待落实及由公司(或由公司提名的公司全资附属公司)与卖方订立最终协议及完成可能收购事项后，目标公司的财务业绩将综合计入公司的财务报表。

目标公司为卖方的合资企业，目标公司为一家专注于智能自助洗车的新兴企业，秉承“让每一次出行更智能、更可持续、更有温度”的使命，已发展成为国内规模领先、数据驱动、生态协同的泛汽车数字生活服务平台。目标公司作为深圳龙华区政府重点扶持企业，主动参与城市公共服务配套建设，推动行业标准制定与产业升级。目前，集团已成功将“智慧洗车+公共配套综合服务”模式推广至南京、苏州、南通、芜湖、合肥、杭州、重庆、成都等67个城市，深度响应地方政府招商引资与智慧城市建设需求，实现企业成长与区域发展的双向赋能。

董事会认为，可能收购事项符合集团的投资策略并预期巩固公司的现有业务。董事会认为，可能收购事项(倘落实)将即时为公司带来新收入来源及可使公司进一步加强其收入及客户基础，故符合公司及其股东的整体利益。
