智通财经APP讯，森美控股(00756)发布公告，本公司已与呈请人中的五家银行(重组贷款人)签订了一份主贷款重组契约。根据重组契约及相关安排，涉及重组贷款人的未偿还本金总额约为1085.88万美元(相当于约8470万港元)。本公司已透过债券融资及控股股东借款所得款项，妥善处理及安排偿还上述债务。
于本公告日期，在呈请人中仅余下一家银行，即华南商业银行股份有限公司(剩余贷款人)尚未完成涉及本金约为173.11万美元(相当于约1350万港元)的债务重组。
鉴于本公司已成功与绝大部分呈请人达成重组协议并解决相关债务，董事会认为本公司目前的债务危机已解除，财务状况及流动性压力已大幅缓解。目前本公司亦与剩余贷款人积极进行谈判，并正在取得共识。
由于重组贷款人需要时间处理撤回其对呈请的支持之行政程序;及剩余贷款人需接手呈请程序，并向法院申请修改呈请内容，经各方同意后，本公司于2026年1月 0日(交易时段后)透过代表律师收到法院于2026年1月29日颁令，批准将原定于2026年2月2日举行的呈请聆讯押后至2026年5月4日上午9时30分。
