智通财经APP讯，途屹控股(01701)发布公告，于2026年2月3日，买方修善寺滝亭株式会社(本集团的全资附属公司)与卖方(独立第三方)订立购股协议，据此，买方同意收购，而卖方同意出售目标公司的100%已发行股份，代价为约8950万日圆，可进行价格调整：1)于目标公司截至2026年1月31日账册中所列的所有应付税项均由卖方负担，因此，上述代价应按应付税项总额向下调整;及2)于目标公司截至2026年1月31日账册中所列的所有银行现金均归属于卖方，因此，上述代价须按该银行现金总额予以上调。
于收购事项完成后，目标公司将成为本集团的间接全资附属公司，而目标公司的财务业绩将因此并入本集团的财务业绩。
目标公司株式会社日辉交通的主要业务为提供观光巴士运输服务。
本集团的主要业务包括：(i)销售出境旅游旅行团及当地游;(ii)销售自由行产品; (iii) 提供办理签证申请服务;(iv)免税店业务;及(v)酒店业务。订立购股协议将使本集团得以提升观光巴士运力，以接载规模更大的旅游团体，并提升客户体验。
