智通财经APP讯，深圳控股(00604)发布公告，于2026年2月6日，本公司全资附属公司深业鹏基与沙河实业及晶华电子订立股份转让协议，深业鹏基有条件同意出售，而沙河实业则有条件同意购买待售股权，即深业鹏基所持有的晶华电子70%股权，总代价为现金人民币2.74亿元。
于交割后，深业鹏基将不再持有晶华电子的任何股权，晶华电子将不再为本公司的附属公司，其财务业绩亦将不再综合计入本集团的财务报表。
公告称，该交易符合本集团积极推动的转型策略，即成为“不动产资产管理及综合营运服务供应商”。晶华电子主要从事物联网领域智能显示控制器及液晶显示装置的研发、生产与销售，属先进制造业范畴，与本集团未来将聚焦的不动产资产管理及营运服务业务关联性较低。本集团一直积极探索透过资本市场实现晶华电子内在价值的途径。该交易符合本集团对晶华电子的长远发展策略，有助于释放其市场价值，并进一步优化本集团的整体业务架构。透过该交易，本集团将能进一步集中资源发展核心业务，加速实现向轻资产、服务型业务模式的战略转型。
