智通财经APP讯，宏基集团控股(01718)发布公告，于2026年2月5日，本公司的全资附属公司(买方)与一名独立第三方(卖方)(即目标公司的唯一股东)订立买卖协议(买卖协议)。根据买卖协议，买方同意以231万港元的现金代价购买而卖方同意出售一间于英属处女群岛注册成立的有限公司House Clover Ventures Limited(目标公司)已发行股份总数的70%(收购事项)。收购事项完成后，目标公司将成为本公司的非全资附属公司，其财务业绩将并入本集团的财务报表。

目标公司从事食品及饮品业务，并已与知名日本咖啡品牌订立独家分销及商标许可协议。该公司目前于上海黄金地段经营两间该日本咖啡品牌的精品咖啡店，并管理同品牌咖啡豆及其他咖啡相关产品的线上销售平台。

透过收购事项，本集团得以直接进入上海快速增长的精品咖啡零售行业。在消费者购买力提升、都市生活方式转变及对高端品牌体验的偏好的推动下，该地区对优质精品咖啡的需求持续增长。目标公司已建立的营运业务透过实体咖啡店及咖啡豆与相关产品的电商销售，带来多元且持续的收入来源。董事会相信，收购事项为本集团实现业务及收入来源多元化提供了良机，最终将提升本集团的业务表现及盈利能力，符合本公司及其股东的整体利益。
