智通财经APP讯，珠峰黄金(01815)发布公告，本公司已获得认购协议D项下的部分代价4314.8万港元(对应将予认购的2680万股股份)、认购协议E项下的余下代价3525.9万港元(对应将予认购的2190万股股份)及认购协议F项下的部分代价4878.3万港元(对应将予认购的3030万股股份)(统称“有关认购协议”)。由于有关认购协议所载的先决条件已获达成，于2026年2月6日，根据有关认购协议的条款及条件，认购协议D及认购协议F已部分完成，而认购协议E已完成(统称“若干认购事项完成”)。

由根据认购协议D将予认购的2680万股股份、根据认购协议E将予认购的余下2190万股股份及根据认购协议F将予认购的3030万股股份组成的合共 7900万股股份(有关认购股份)(占本公司于紧接若干认购事项完成前已发行股本约6.27%及经根据若干认购事项完成发行有关认购股份扩大后的本公司已发行股本约5.90%)已按认购价每股认购股份1.61港元发行予有关认购人。若干认购事项完成的所得款项净额(经扣除若干认购事项完成的相关费用及开支后)约1.27亿港元将按该等公告所披露的方式应用。

就认购协议项下余下合共1.468亿股股份的认购(余下认购事项)而言，预期完成将根据各有关认购协议的条款及条件发生。
