4.52亿关联交易落地：中国电力子公司中标国家电投储能项目，供应250MW/1000MWh设备

　　2月5日，中国电力（02380）披露关联交易公告，公司非全资附属公司新源智储与关联方托里公司签订电池储能系统（BESS）采购合同，为新疆塔城储能项目提供设备、组件及相关服务，交易金额达人民币4.52亿元（约合5.08亿港元）。

　　据悉，交易双方均为国家电力投资集团有限公司（简称“国家电投”）体系内企业——国家电投持有中国电力65.61%股权，托里公司为国家电投间接附属公司，因此本次交易构成关联交易。根据港股上市规则，该交易适用百分比率超0.1%但低于5%，需履行公告申报义务，豁免独立股东批准。

　　合同约定，新源智储将提供工程设计、设备制造、安装调试、售后质保（5年）等全流程服务，项目对应新疆塔城250兆瓦/1000兆瓦时储能项目，将为当地1000兆瓦陆上风电项目提供备用电源。支付方式分五期执行：预付款10%、排产通知后20%、交付验收后40%、并网验收后25%，剩余5%作为质保金在最终验收后支付。

　　定价方面，交易经公开市场招标确定，参考同类项目市场价及公司过往交易价格，董事及独立非执行董事均确认条款公允，不逊于独立第三方交易。中国电力表示，此次交易将助力新源智储拓展储能市场份额，契合集团向绿色低碳能源供应商转型的战略目标，符合公司及股东整体利益。
