智通财经APP讯，泛亚环保(00556)发布公告，于2026年2月6日，买方(公司间接全资附属公司泛之成数字科技(成都)有限责任公司)、卖方(赖浩先生)及喜来鹿品牌管理(广州)有限公司(目标公司)订立了该协议，买方有条件同意收购且卖方有条件同意出售目标公司51%股权，代价为人民币1元。
于本公告日期，目标公司注册资本尚未缴足。于完成后，买方将须根据中国公司法及目标公司组织章程细则的规定，按照协定出资安排，按其于目标公司持有的股权比例出资人民币510万元。
目标公司主要从事连销餐饮零售业务，透过直营店铺及集中店铺管理模式，经营以啤酒为主的相关饮料消费场景，并借助数字系统提升营运效率及客户体验。董事会认为收购事项将有助增强及扩展集团的主营业务。
