智通财经APP讯，乐摩科技(02539)发布公告，于2026年2月12日(交易时段后)，本公司与上海猫一会订立合营协议以成立合营实体，该合营实体将主要从事于办公场所提供机器按摩服务。
根据合营协议，本公司及上海猫一会将分别向合营实体出资人民币800万元及人民币200万元，分别占其注册资本的80%及20%。合营实体成立后，其将成为本公司的非全资附属公司。
本集团主要从事提供按摩服务，并持续探索新市场商机。本公司正与执行董事兼技术总监陈兴先生商讨潜在合作事宜，拟充分利用陈兴先生在核心按摩椅技术、 IoT平台及操作系统方面的深厚专业知识与本公司的生产能力。鉴于办公场所中的机械按摩业务依赖定制化技术调整及精密操作，订约方同意成立合营实体，以实现产品开发与市场扩张的协同效应。成立合营实体亦使陈兴先生的激励与合营实体业务的成功挂钩，确保其全心投入专业知识及工作，预期将对本集团的整体表现作出贡献。
