智通财经APP讯，洲际船务(02409)发布公告，于2026年2月12日(联交所交易时段后)，本公司(作为担保人)已签立租船担保，本公司已同意担保义务人于交易文件项下以拥有人为受益人有关船舶义务的妥善按时履约。
根据交易文件，租船人(本公司的联营公司)已与拥有人就船舶订立融资租赁安排，涉及本金总额不超过3910万美元。
租船人为一家于利比里亚注册成立的有限责任公司。于本公告日期，租船人由黄海洲际船务有限公司全资拥有，而黄海洲际船务有限公司由本公司通过其间接全资附属公司GHC Holding Ltd持有50%权益，及由独立第三方黄海(香港)持有50%权益。
根据交易文件，租船人必须促使本公司为拥有人的利益提供租船担保，作为租船人履行其于交易文件项下的合约责任、责任及义务的担保。本公司管理层认为，提供担保可使租船人订立融资租赁安排，以获得额外的营运资金，并为收购船舶提供资金，确保租船人的持续稳定增长。
于2026年2月12日，黄海(香港)亦签立一份以拥有人为受益人的租船担保，黄海(香港)按照与租船担保类似的条款提供担保，这亦与其于租船人的间接权益成比例。
