智通财经APP讯，中石化冠德(00934)发布公告，于2026年2月12日，本公司全资附属公司经贸冠德已与曹妃甸港集团订立独家营运协议，曹妃甸实华将向经贸冠德或经贸冠德指定的客户独家提供原油码头营运服务。尽管经贸冠德及曹妃甸港集团持有的曹妃甸实华股权仍保持分别为90%及10%不变，于订立独家营运协议后及根据适用会计准则重新评估本集团与曹妃甸实华的关系后，曹妃甸实华已成为本公司的间接非全资附属公司及其财务业绩将并表至本集团的合并财务报表。
虽然曹妃甸实华的股权结构并无变动，但订立独家营运协议使本公司得以加强对曹妃甸实华原油码头业务的营运协调及管理。尤其是，独家营运协议使本公司得以对客户资源管理、原油接卸协调及营运调度行使更大影响力，从而提升整体营运效率、加强成本控制及优化码头资源利用率。董事认为，该等安排有利于曹妃甸实华的长期、稳定及有效营运，并符合本公司及其股东的整体利益。
