智通财经APP讯，协合新能源(00182)发布公告，于2026年2月9日，本公司多间全资附属公司与招盈能合(本公司的合营公司)订立三份出售协议，卖方集团向招盈能合出售目标集团(曲靖聚隆、五河聚合及安徽泰合)的100%股权，总代价约为人民币5.178亿元。
目标集团均为本公司的全资附属公司，主要于中国从事风电项目的投资及营运。目标集团A 主要经营位于中国云南省曲靖市的300兆瓦风电厂及配套的30兆瓦/60兆瓦时储能项目。目标公司B主要经营位于中国安徽省蚌埠市的50兆瓦风电厂。目标集团C主要经营位于中国安徽省亳州市的51兆瓦风电厂项目。
将运营电厂资产转让至招盈能合，为资产证券化和价值释放开辟通路，增加集团资产的流动性，加快本集团资产周转及资金回笼，并有助优化资本结构、降低资产负债率，全面提升资金使用效率。
董事会在审慎检视本集团的业务策略及招盈能合运作架构后，认为整体出售事项，属审慎的商业决定，交易条款公平合理，符合本公司及全体股东的整体利益。
