智通财经APP讯，华能国际电力股份(00902)发布公告，公司现任副总经理、董事会秘书黄朝全先生因年龄原因，向公司董事会提交了书面辞职报告，辞去公司副总经理、董事会秘书职务。黄先生的辞职申请自送达董事会之日起生效(即2026年2月11日)。董事会于2026年2月11日召开第十一届董事会第十七次会议，审议通过了《关于更换公司董事会秘书的议案》，同意聘任文明刚先生为公司董事会秘书，该议案已经公司董事会提名委员会事先审议通过。文先生将报名参加最近一期上海证券交易所举办的主板上市公司董事会秘书任职培训，待取得上海证券交易所颁发的董事会秘书任职培训证明后正式履行董事会秘书职责。
董事会于2026年2月11日召开第十一届董事会第十七次会议，审议通过了《关于聘任公司副总经理的议案》，同意聘任鲁新先生为公司副总经理。以上任职安排自2026年2月11日起生效。
