智通财经APP讯，北森控股(09669)发布公告，有关收购酷渲(北京)科技有限公司(目标公司)及同时进行的股份交易的事宜。目标公司已于2025年1月由本集团收购，其财务业绩自此已并入本公司财务报表。董事会欣然宣布，截至本公告日期，同时进行的股份交易的所有先决条件均已获达成。此外，在目标公司于2025年10月取得“ICP许可证”且换股卖方于2026年1月获境外直接投资批准以认购对价股份后，已取得所有必需的监管批准。
因此，于2026年2月11日，根据境外股份购买协议，本公司已向换股卖方配发及发行3476.16万股代价股份，相当于本公司紧随配发及发行代价股份后已发行股份总数(不包括库存股份)约4.8%。代价股份将自本公告日期起计受六个月禁售期所限。
董事亦谨此宣布，为抵销配发及发行代价股份所产生的摊薄影响，本公司已决定于配发及发行代价股份后，注销合共3200万股库存股份。
