智通财经APP讯，天鸽互动(01980)发布公告，本公司已成立由全体独立非执行董事(即谢铭麟先生、王明春先生及林益文先生)组成的独立董事委员会(独立董事委员会)，就部分要约向本公司独立股东(独立股东)提供意见。非执行董事曹菲女士同时担任Weibo Corporation首席财务官。由于Weibo Corporation与要约人皆由新浪公司控制，故其不被视为具备独立性以担任独立董事委员会成员，并已据此向董事会申报其利益关系。
红日资本有限公司，一家根据证券及期货条例可从事第1类(证券交易)及第6类(就机构融资提供意见)受规管活动的持牌法团，已获委任为独立财务顾问，以就部分要约，特别是部分要约条款是否属公平合理及应否接纳部分要约向独立董事委员会及独立股东提供意见。此项委任已根据收购守则规则2.1获独立董事委员会批准。
