天津建发（02515）发布公告，由于公司根据日期为2026年2月11日的一般授权建议配售新股份，公司将发行新股份，并将有关发行所筹集资金逾半数拨入其注册资本，余额则根据相关中国法律及公司章程计入其资本公积。有关分配的具体比例须经公司股东于公司临时股东会上批准。建议配售事项所得款项净额将约为人民币2590万元。于建议配售事项完成后，根据章程，建议配售事项所得款项净额的55.0%将计入公司注册资本（应按照配售协议签署日当日中国人民银行公布的港币兑人民币汇率中间价折算为人民币），其余款项计入资本公积。如配售协议签署日后汇率有波动的，计入注册资本部分的金额不变，相应调整计入资本公积部分金额。因此，董事会建议，待建议配售事项完成后，将公司注册资本由人民币2.16亿元变更为人民币2.30亿元。
