智通财经APP讯，大人国际(01957)发布公告，于2026年2月16日(交易时段后)，卖方(本公司的全资附属公司)与买方Belcher Ventures Investment Ltd.订立股份购买协议，卖方有条件同意出售，而买方有条件同意以代价3141.1万港元购买销售股份(目标公司Lordan Group Ltd全部已发行股本的40%)。
目标公司为一间投资控股公司，持有香港公司所有已发行股份。香港公司持有外商独资企业全部注册资本。透过可变权益实体合约，该外商独资企业对营运公司集团拥有实质控制权，并享有该集团所产生的经济利益。
过去数年，董事会已对本集团的业务营运进行广泛的检讨及评估，以期调整其业务策略，从而更有效地适应充满挑战的业务环境。就此而言，目标集团于期内录得销售业绩按年大幅下滑，并蒙受亏损。经审慎评估后，并考虑到目标公司实现可持续盈利所需的时间，以及与本集团其他业务分部的业务协同效应有限，董事会认为，出售事项是将资源及投资重新分配至本集团其他业务分部的良机。出售事项完成后，本集团将不再承担目标公司的经营亏损，预期本集团的整体财务表现将有所改善。
