智通财经APP讯，彭顺国际(06163)发布公告，于2026年2月11日，本集团于马来西亚正式向彭新华先生(彭先生)提起法律诉讼，指称其违反与本集团订立的委任书所载若干限制性契诺。彭先生及其女儿彭慧娴女士(彭女士)为本公司前任执行董事，彼等已分别自2021年1月11日及2020年12月8日起辞任本公司执行董事及本公司附属公司 Gemilang Coachwork Sdn Bhd(GCSB)董事职务。
具体而言，根据GCSB与彭先生订立的委任书及行为守则，彭先生向GCSB承诺(其中包括)其应避免利益冲突;不得直接或间接从事或于任何与GCSB所经营业务构成竞争的业务中拥有权益;及在所有关键时刻诚实、公平及以符合GCSB 的最佳利益行事。
彭先生在GCSB任职期间，违反上述限制性契诺，直接及/或间接在与GCSB业务构成竞争的公司中担任职务及/或拥有权益。
基于上述理由，本公司董事会已向彭先生提起法律诉讼，以追讨其因违反上述限制性契诺而对本集团造成的损害及损失。本公司进一步保留就其他前任董事及/或雇员的行为所造成的任何损失追讨赔偿的权利。
