CAC Holdings (TYO:4725) will acquire 138,000 shares in JEMS Inc., giving it a 78% voting stake, according to a Tuesday filing on the Tokyo Stock Exchange.

JEMS develops waste management and recycling software, including its "Kankyo Shogun R" system for industrial waste processors, and provides IT and BPO services to manufacturers, construction and retail companies. It also operates the "Circular Navi" traceability platform aimed at supporting a circular economy.

CAC said the acquisition will broaden its portfolio into industrial waste management and create synergies through joint system development, AI-driven productivity gains and potential overseas expansion.

The deal is scheduled to close in February, with JEMS to be consolidated in the first quarter of the year.
