智通财经APP讯，培力农本方(01498)发布公告，于2026年2月26日，公司与可换股债券认购人Protoss Global Opportunities Fund订立可换股债券认购协议，据此，可换股债券认购人已有条件同意认购而公司已有条件同意发行本金额为2000万港元的可换股债券，可按每股转换股份0.49港元的换股价转换为转换股份。
可换股债券认购事项的所得款项总额及所得款项净额分别约为2000万港元及1985万港元。董事拟按以下方式运用可换股债券认购事项的所得款项净额：(i)约1000万港元将拨作一般营运资金，包括采购生草药、员工成本及租金开支;(ii)约500万港元将用于偿还现有银行贷款，以期降低集团的资产负债比率及减少融资成本;(iii)余下所得款项将专注于扩展集团现有业务，具体用于升级生产设施及支持新浓缩中药配方颗粒产品的研发。
