智通财经APP讯，朗廷-SS(01270)发布公告，截至2025年12月31日止年度应付予酒店管理人的管理人费用总额约为6200.3万港元，其中已就2025年上半年支付约2795.9万港元。董事会公布，截至2025年12月31日止六个月期间应付予酒店管理人的管理人费用将按特别授权以每股份合订单位0.610港元发行5580.88万个新股份合订单位(2025年下半年管理人费用股份合订单位)的方式支付，惟受限于递延机制。

为遵守上市规则中公众持股量的规定，2025年下半年管理人费用股份合订单位将会分批支付，而于付款到期日，仅配发及发行2538.56万个股份合订单位(第一批股份合订单位)予LHIL Assets。

根据公开可得的资料及据董事会所知，紧随发行第一批股份合订单位后，进一步向LHIL Assets配发及发行股份合订单位将违反上市规则中公众持股量的规定。因此，根据补充协议，配发及发行余下3042.32万个股份合订单位将受限于递延机制。

根据酒店管理人的指示，为进行实物分派及遵守上市规则中公众持股量的规定，本信托及本公司将于2026年4月2日按每股份合订单位0.610港元向鹰君的合资格股东配发及发行3042.32万个股份合订单位(即递延股份合订单位的全数)。于配发及发行全数递延股份合订单位后，截至2025年12月31日止六个月期间尚未支付的管理人费用将已结算。
