智通财经APP讯，万顺集团控股(01746)公布，于2026年1月28日，卖方Prime Pinnacle Limited及担保人与潜在买方Winsun Special Assets International Co.,Ltd.订立谅解备忘录，涉及卖方可能向潜在买方或受潜在买方控制的有关实体出售其持有的销售股份，而倘落实，可能会导致公司控制权变动，并触发根据收购守则针对全部已发行股份(潜在买方、其实益拥有人或彼等任何一方的一致行动人士已拥有或同意收购的股份除外)的强制性全面要约。于2026年2月28日营业结束时，潜在买方尚未支付定金。因此，谅解备忘录已于2026年2月28日失效。
就收购守则而言，可能交易的要约期已于本公告日期结束。
董事会认为，谅解备忘录失效对集团的财务及营运状况并无重大不利影响。
