智通财经APP讯，麦迪森控股(08057)发布公告，董事会建议透过增设10亿股新现有股份，将公司法定股本由1000万港元(分为10亿股现有股份)增加至2000万港元(分为20亿股现有股份)。
在增加法定股本生效的前提下，董事会建议实施股份合并，按每10股已发行及未发行的每股面值0.01港元的现有股份合并为1股每股面值0.10港元的合并股份。股份合并须待(其中包括)股东于股东特别大会上批准后，方可作实。
公司建议透过供股以于记录日期合资格股东每持有2股合并股份获发3股供股股份的基准按认购价每股供股股份0.486港元发行9346.9万股供股股份，以筹集约4543万港元(扣除开支前)(假设于记录日期或之前概无新发行或回购股份)。供股的所得款项净额最高估计为约4279万港元。公司拟将供股所得款项净额用于偿还尚未偿还贷款及用作集团一般营运资金。
