智通财经APP讯，数科集团(02350)发布公告，于2026年3月5日，本公司与Tsingzhan Technology Holdings Limited(卖方)订立无法律约束力的谅解备忘录(谅解备忘录)，据此，本公司拟收购由卖方全资拥有的清湛国际人工智能有限公司(“目标公司”，连同其附属公司统称“目标集团”)的控股权(建议交易)。
目标集团于工业人工智能及机器人领域拥有多年研发经验。目标集团主要从事提供工业人工智能及智能机器人，为制造生产线提供工业解决方案，其主要面向汽车、设备制造及电子等制造行业客户，该等行业通常需要大规模自动化生产线及质量检验。目标集团透过其自有分析及计算平台而与本地大学及研究机构合作，探索及提升定制解决方案，以满足不同客户的需求。
通过整合目标集团在工业人工智能及机械人领域的良好往绩记录，其以过去数年与70多名工业客户所累积的抵押合约以及于主要制造行业的多元化客户网络提供支持，预计本集团将透过建议交易即时获得关键硬件资源、专业知识及能力以及营销渠道，从而加快其在中国的人工智能解决方案部署。
