智通财经APP讯，中国港能(00931)发布公告，于2026年3月5日，公司(作为发行人)与简志坚博士(作为认购人)订立贷款资本化协议，据此，订约方有条件同意，认购人将认购而公司按资本化价格每股资本化股份0.36港元配发及发行合共7.22亿股资本化股份。认购人应付的所有资本化股份价格将须于完成后，透过资本化及抵销偿还金额2.60亿港元的方式结付。

假设已发行股份总数于本公告日期至配发及发行资本化股份期间并无变动，资本化股份相当于本公告日期已发行股份总数约9.71%;及经配发及发行资本化股份扩大的已发行股份总数约8.85%。

鉴于集团财务状况，集团无法以现有财务资源偿还应付认购人款项。将偿还金额拨充资本使集团能够在不动用现有财务资源的情况下清偿现有负债，并可避免现金流出。此外，将偿还金额拨充资本可降低公司的债务水平及扩大其资本基础。尽管配发及发行资本化股份将对现有独立股东产生摊薄影响，但经考虑贷款金额资本化可缓解集团的还款及偿付压力;及资本化股份于配发及发行时将全部确认为公司权益，从而降低资产负债比率、扩大资本基础及提升集团的资产净值状况，董事认为，配发及发行资本化股份产生的摊薄影响就此而言属合理。
