智通财经APP讯，招商局置地(00978)发布公告，于2026年3月6日，西安茂安(本公司间接全资附属公司)与武汉古田订立股权转让协议，据此(其中包括)，武汉古田同意出售，而西安茂安同意收购西安招玺锦樾房地产开发有限公司(目标公司)100%股权，代价为人民币7958.96万元。完成后，目标公司将成为本公司间接全资附属公司。

完成后，目标公司将成为本公司的间接全资附属公司。因此，根据上市规则第14A章，招商蛇口应向目标公司收取的未偿还应收款项，即截至2025年11月30日合共约人民币4517.4万元，于完成后可能构成本集团提供的视作财务资助及本公司的关连交易。

在评估收购事项及视作财务资助时，本公司注意到目标公司的内在价值可能未被当前代价充分反映。其财务架构中存在若干潜在资源尚未在财务报表中充分体现(包括但不限于尚未全数确认的递延税项资产及预付税款)。从投资角度观之，代价主要基于目标公司净资产账面价值，未能充分计入具转换潜力的财务资源。本公司相信，透过有效的业务整合与财务优化，释放此潜在价值将有助提升未来项目的整体投资回报。因此，本公司认为订立股权转让协议及据此拟进行的交易符合本公司利益。
